This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and Radicle Science, Inc. (“Company,” “we,” “us,” or “our”) governing your download, installation, access, and use of the Radicle Science Connect App and any related software, features, content, documentation, updates, and services (collectively, the “App”). By downloading, installing, creating an account, clicking “I agree,” or using the App, you agree to be bound by this Agreement. If you do not agree, do not download, install, access, or use the App.

The App is a research technology platform developed and operated by Radicle Science, Inc. ("Radicle Science"), a decentralized clinical research company. Radicle Science provides the App to facilitate remote administration of IRB-approved research protocols, including survey assessments, wearable device data collection, and participant communication. The App is not a medical device regulated by FDA and is not intended to diagnose, treat, cure, or prevent any disease or health condition.

You must be at least 18 years of age to use this App.

By downloading, installing, accessing, clicking “I agree,” or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

Subject to your compliance with this Agreement, Radicle Science grants you a limited, personal, non-exclusive, non-transferable, revocable license to download, install and use the App only in accordance with this Agreement, applicable documentation, and applicable law. You may not: (a) copy, modify, or create derivative works of the App; (b) distribute, transfer, sublicense, or make the App available to third parties; (c) reverse engineer, decompile, or disassemble the App; or (d) use the App for any commercial or unauthorized purpose.

You may not, and may not permit any third party to: copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive the source code of the App; sell, rent, lease, sublicense, distribute, or otherwise transfer the App; use the App to violate any law, infringe any rights, collect data without appropriate notice or consent, transmit malicious code, interfere with the App’s operation, or attempt unauthorized access to any system or data; remove or obscure proprietary notices; or use the App to develop a competing product or service.

The App is designed to collect, submit, process, store, analyze, or transmit data that you provide or authorize, which may include personal information, usage data, device information, location information, survey responses, files, forms, sensor data, logs, identifiers, metadata, or other information depending on the App’s configuration and your use of the App (“User Data”). Our collection, use, storage, disclosure, and protection of User Data are described in our Privacy Policy. The Privacy Policy is incorporated into this Agreement by reference.

By using the App, you represent and warrant that you have all rights, permissions, notices, and consents required to submit User Data to the App and to permit us and our service providers to process User Data as described in this Agreement and the Privacy Policy. You are responsible for ensuring that your collection and submission of data through the App complies with all applicable laws, regulations, contractual obligations, and organizational policies.

You acknowledge and agree that Radicle Science collects, uses, and shares study-related data as described in the Data Sharing Disclosure provided to you during your informed consent process and available within the App at Settings → Privacy. Study-related data collection and use are governed by the IRB-approved study protocol, applicable federal research regulations (45 CFR 46), and applicable state and federal privacy laws. Analytics data collection is optional and requires your separate consent via the in-app prompt; declining analytics tracking does not affect study participation.

We will use commercially reasonable administrative, technical, and organizational safeguards designed to protect User Data against unauthorized access, loss, misuse, disclosure, alteration, or destruction. However, no method of transmission, storage, or processing is completely secure, and we do not guarantee absolute security.

You may be required to create an account to use certain features of the App. You agree to provide accurate, current, and complete information; maintain the confidentiality of your login credentials; and promptly notify us of any unauthorized access or suspected security incident. You are responsible for all activity occurring under your account.

Nothing in the App or its content constitutes medical advice, diagnosis, or treatment recommendations. The App is a data collection and communication tool for research purposes only. If you have questions about your health, consult a qualified healthcare professional. If you are experiencing a medical emergency, call 911 or your local emergency services immediately.

Your use of the App as it pertains to a study is entirely voluntary. You may discontinue use of the App at any time, without penalty and without affecting any care you are otherwise entitled to receive. You may stop using the App by discontinuing access or by deleting the App from your device. Withdrawal from the Appstops future in-App data collection; data already collected will be retained as required by the IRB and applicable regulations.

The App, including all software, content, design, interfaces, graphics, text, documentation, trademarks, and service marks are owned by Radicle Science, Inc. or our licensors and is protected by applicable intellectual property laws. Except for the limited license expressly granted in this Agreement, no rights are transferred to you. You retain ownership of User Data that you submit to the App, subject to the rights and licenses you grant to us to operate, maintain, secure, improve, and provide the App and related services. All other rights not expressly granted are reserved by Radicle Science.

If you provide suggestions, comments, ideas, or other feedback about the App, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit that feedback without restriction or compensation to you.

We may provide updates, patches, bug fixes, enhancements, or new features for the App, and such updates will be deemed part of the App unless accompanied by separate terms. We may modify, suspend, or discontinue the App or any feature at any time, with or without notice, subject to applicable law and any separate written agreement between you and us.

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. Radicle Science does not warrant that the App will be error-free but commits to timely correction of errors reported or discovered to preserve the integrity of the data.

You agree to use the App only in compliance with all applicable laws and regulations, including laws related to privacy, data protection, consumer protection, export controls, anti-spam, electronic communications, and unauthorized access. You may not use the App in any jurisdiction where such use is prohibited.

To the maximum extent permitted by law, the App is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted operation, and error-free performance. We do not warrant that the App will meet your requirements, that data will be accurate or complete, or that defects will be corrected.

To the maximum extent permitted by applicable law, Radicle Science shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive or enhanced damages including lost profits, lost revenue, loss of data, business interruption, or loss of goodwill relating to this Agreement or the use of or inability to use the App, even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the App, your User Data, your violation of this Agreement, your violation of applicable law, or your infringement or misappropriation of any rights of another person or entity.

This agreement is governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Radicle Science may update this EULA during the course of the study. Material changes will be communicated to you via the App or email, and your continued use of the App following notice of changes constitutes acceptance of the updated terms.

This Agreement begins when you first download, install, access, or use the App and continues until terminated. You may terminate this Agreement by deleting the App and discontinuing all use. We may suspend or terminate your access to the App at any time if we believe you have violated this Agreement, created risk, or used the App unlawfully. Upon termination, your license ends immediately, and you must stop using and delete all copies of the App.

This Agreement will be governed by the laws of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to this Agreement or the App will be resolved in the courts located in [Venue], unless applicable law requires otherwise. You and we consent to the personal jurisdiction and venue of those courts.

This Agreement, together with any applicable Privacy Policy and supplemental terms, constitutes the entire agreement between you and us regarding the App and supersedes any prior or contemporaneous agreements on that subject. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. No waiver will be effective unless in writing, and no waiver of any breach will be deemed a waiver of any other breach.
